Agreement
These Terms of Service ("Terms") govern your access to and use of the websites and services (the "Services") provided by Pegasus Three Sixty LLC("we," "us," or "our"), a Delaware limited liability company. By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services.
Description of services
Denial Defender
A document-preparation and authorized-representative support service for health-insurance appeals. It is not a law firm and does not provide legal advice. Using it does not create an attorney–client relationship, and no outcome is guaranteed. For legal advice about your specific situation, consult a licensed attorney.
SBIR Phase I
An advisory service that scores and provides edits for NSF Project Pitches. We are not affiliated with, endorsed by, or acting on behalf of the National Science Foundation or the U.S. Government. No invitation to submit a proposal or award is guaranteed.
483 Signal
An informational service that parses and summarizes publicly available FDA Form 483 observations and Warning Letters. It is not compliance, regulatory, or legal advice. We do not warrant the accuracy, completeness, or timeliness of underlying government data. We are not affiliated with the FDA.
User responsibilities
- You will provide accurate information and maintain the security of your account credentials.
- You will not use the Services for any unlawful purpose or in violation of these Terms.
- You are responsible for your own decisions and actions based on the Services.
Fees and payment
Certain Services are offered for free (e.g., free audits, free newsletter). Paid Services are billed as described at the time of purchase. All fees are non-refundable except as required by law or as expressly stated.
Intellectual property
All content, trademarks, and other intellectual property on the Services are owned by us or our licensors. You may not copy, modify, or distribute our intellectual property without permission.
Confidentiality
We treat documents and information you provide as confidential and use them only to deliver the Services, except as required by law.
Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONYX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Pegasus Three Sixty and its affiliates from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Services or violation of these Terms.
Termination
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
Changes to these terms
We may update these Terms from time to time. We will post the updated Terms and revise the "Effective" date. Continued use after changes constitutes acceptance of the new Terms.
